1. Agreement to Terms

• Brand development and strategy
• Traditional advertising services
• Market research and analysis
• Media planning and buying
• Creative design and content creation

4. Service Agreements

4.1 Proposals and Contracts

All services are subject to written agreements or proposals accepted by both parties. These Terms supplement but do not replace specific contract terms.

4.2 Scope of Work

The scope of work will be clearly defined in each project agreement. Changes to the scope may result in additional charges and timeline adjustments.

5. Payment Terms

5.1 Fees and Billing

• All fees are specified in the service agreement
• Payment terms are typically 30 days from invoice date
• Late payments may incur interest charges
• We reserve the right to suspend services for overdue accounts

5.2 Refunds

Refunds are considered on a case-by-case basis and are subject to the specific terms outlined in each service agreement.

6. Client Responsibilities

Clients are responsible for:

• Providing accurate and complete information
• Timely feedback and approvals
• Compliance with applicable laws and regulations
• Providing necessary access to systems and accounts
• Payment according to agreed terms

7. Intellectual Property

7.1 Client Materials

Clients retain ownership of their existing intellectual property and grant us license to use it for the agreed services.

7.2 Created Materials

Ownership of materials created during our engagement will be specified in the service agreement, typically transferring to the client upon full payment.

7.3 Company Tools and Methods

We retain ownership of our proprietary tools, methods, and general knowledge.

8. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the business relationship. This obligation survives termination of services.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the fees paid for the specific service
• We are not liable for indirect, consequential, or special damages
• We do not guarantee specific results from advertising campaigns
• Clients are responsible for their own business decisions

10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, or other unforeseeable events.

11. Termination

11.1 Termination by Either Party

Either party may terminate services with written notice as specified in the service agreement.

11.2 Effect of Termination

Upon termination, clients remain responsible for payment of services rendered and expenses incurred up to the termination date.

12. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms.

13. Governing Law

These Terms are governed by Estonian law. Any disputes will be subject to the jurisdiction of Estonian courts.

14. Website Use

14.1 Acceptable Use

You may use our website for legitimate business purposes only. Prohibited uses include:

• Attempting to gain unauthorized access
